BrandFamous Master Services Agreement
One agreement for everything Maupin Woodworks is buying from BrandFamous: the new website ($500 once), a Local SEO plan (Local Boost at $199 a month or Local Pro at $299 a month, month to month, Tom picks one), and the Hosting Care Plan, hosting with unlimited small edits ($99 a month, included in the SEO plan; if the plan ever ends, hosting and small edits continue at $99 a month). Tom initials each Part, checks the plan, and signs once.
Website, Local SEO Plan and Hosting Care Plan for Maupin Woodworks LLC
Effective date: the date both parties have signed below (the "Effective Date"). Version: v1, October 16, 2026.
Between BrandFamous LLC, a California limited liability company (California Secretary of State entity number B20260344869), principal office at 2030 Main St, Suite 1300 #2021, Irvine, CA 92614 ("BrandFamous," "we," "us"), and Maupin Woodworks LLC, 9838 S 391st Ave, Tonopah, AZ 85354 ("Client," "Maupin," "you"), signing through Tom Maupin.
This Agreement has three Parts. Part A covers the new website. Part B covers the monthly Local SEO plan. Part C covers hosting and the Hosting Care Plan. Sections 1 and 7 through 13 apply to all three Parts. Client initials each Part, checks the plan selected in Part B, and signs once at the end.
1. Summary of the Engagement
1.1 What Client is buying.
| Item | Price | When it is charged |
|---|---|---|
| Part A: Website design and build (about 22 pages, new design) | $500 one time | On the Effective Date |
| Part B: Local SEO plan, month to month. Client selects one: Local Boost or Local Pro | $199 per month (Local Boost) or $299 per month (Local Pro) | First charge one month after the Effective Date, on the same calendar day, then monthly on that day (Section 7.2) |
| Part C: Hosting Care Plan (hosting plus small edits) | $99 per month | Included in the Part B plan. Should the Part B plan end, hosting and small edits continue at $99 per month |
1.2 First month of SEO included. The $500 website fee includes the first month of the Part B services, which begin on the Effective Date. The monthly plan fee begins one month after the Effective Date.
1.3 Definitions. "Site" means the website BrandFamous designs, builds and hosts for Client under this Agreement, and any website BrandFamous is hosting for Client. "Go-Live" means the date the Site is published at Client's domain. "Plan" means the Local Boost plan or the Local Pro plan, whichever Client selects in the Acceptance section. "Services" means the work described in Parts A, B and C. "Business day" means Monday through Friday, excluding United States federal holidays.
1.4 Order of precedence. If this Agreement conflicts with any proposal, sample page, email or web page BrandFamous shared before the Effective Date, this Agreement controls. The October 2026 proposal at maupin.brandfamousmarketing.com describes the plan in plain language and is not part of this Agreement.
Part A. Website Design and Build
2. Website Scope
2.1 The build. BrandFamous will design and build a new website for Maupin on BrandFamous's hosting platform, replacing the current site at maupinwoodworks.com. The design follows the draft BrandFamous showed Client before signing, and BrandFamous works with Client from there to reach the look Client wants.
2.2 What is included.
- About 22 pages on the new design: home, kitchen cabinets, bathroom cabinets, custom built shelving, molding and corner blocks, wood furniture, wood signs, door styles, finishes, gallery, brochures, about, FAQ, contact, service area, four city pages (Tonopah, Buckeye, Goodyear and Phoenix), and the legal pages.
- Client's current content and photos carried over, with every door style and finish Client offers listed by name and style number with Client's own photo. Photos are optimized (file names, alt text, compression) and copy is tightened for search without changing Client's facts.
- Client's brochure PDFs rehosted as downloads.
- Layouts built for conversion: click to call and a quote form on every page, clear calls to action throughout.
- Optimized for mobile, tablet and desktop, and tested on all three.
- Optimized for page speed (compressed images, modern formats, a content delivery network). BrandFamous targets fast load times but does not guarantee any particular speed score.
- Technical SEO foundation on every page: clean URLs, schema markup, page titles and descriptions, image optimization, an XML sitemap.
- Quote form submissions delivered to Client's email address, text number, spreadsheet or CRM, with spam filtering.
- Google Analytics 4, Google Search Console and Bing Webmaster Tools connected.
- Redirects from every current maupinwoodworks.com page to its new location, so existing search rankings carry over and anyone with an old link lands on the right page.
- Hosting on BrandFamous's platform under Part C.
2.3 What is not included. E-commerce, customer portals, online payment, custom software, integrations not listed above, copywriting of new pages beyond what exists on the current site, and migration of anything other than the public website (for example email, databases or third-party plugins). Anything in this list, and any page or feature added after the first draft is approved, is a change order that BrandFamous quotes in writing before starting. City pages and blog posts are not change orders; they are part of Part B.
2.4 Review and revisions. BrandFamous delivers a first draft of the Site and then keeps making the reasonable revisions Client requests, within the scope in Section 2.2, with the goal of a Site Client is pleased with. Revisions are not limited to a set number of rounds. Client can send changes as they come up, by text or email. The faster Client reviews, the sooner the Site goes live. The website fee is earned by the work performed and is not conditioned on Client's subjective approval of the design (Section 4.1). After Go-Live, changes flow through the Hosting Care Plan in Part C.
2.5 Timeline. The draft Site is already built. Go-Live can happen within days of Client supplying the items in Section 3 and approving the final details, and typically within four weeks. There is no fixed delivery date; the pace depends mostly on how quickly Client gets back to BrandFamous. The Part B plan fee starts one month after the Effective Date whether or not the Site is live by then, because the Part B work starts on day one and runs alongside the launch: Google Business Profile work, citations, city page planning and content.
3. What BrandFamous Needs From Client
3.1 Access. Login or delegated access to Client's domain registrar for the DNS change at Go-Live, manager access to Client's Google Business Profile, access to Google Analytics and Search Console if they exist, and access to any third-party tool the Site needs to connect to.
3.2 Content and assets. Logo files, photos Client wants used (including photos of Client, the shop and finished jobs), and any corrections to the facts on the current site. BrandFamous builds from the content on the current site and the information Client supplies, and does not invent claims, certifications or capabilities.
3.3 Responses. Client reviews drafts and answers questions as promptly as it can, by email or text. If Client goes thirty consecutive days without responding, BrandFamous may pause the work and restart it when Client is ready.
3.4 Current site and email. Client's email at @maupinwoodworks.com is not affected by this project; BrandFamous changes only the DNS records needed to point the website to the new hosting. As part of the build, BrandFamous has saved a copy of the current site's public pages, documents and images, so nothing public is lost when the old host is cancelled. Anything else on the old host or with the old vendor (email, databases, form records, vendor accounts) is Client's to back up before cancelling; BrandFamous helps with that where it reasonably can, but is not responsible for data lost when a prior host or vendor account is closed.
4. Website Fee, Ownership and Portfolio
4.1 Fee. $500, charged on the Effective Date to the card on file. It is non-refundable once work has begun, because the design and build work has already started.
4.2 Ownership. Client owns the content it supplied (logo, photos, copy and business information) at all times. On payment of the website fee, Client receives a non-exclusive, worldwide license to use the finished Site's design and content for its own business, on BrandFamous's hosting platform, for as long as Part B or Part C remains active, and Client may take a static export of the Site on exit under Section 11. BrandFamous keeps ownership of its templates, reusable components, design system and code library and may reuse them for other clients.
4.3 Portfolio. BrandFamous may show the Site in its portfolio and case studies unless Client opts out in writing before Go-Live. BrandFamous does not place any credit or link on the Site.
Part B. Local SEO Plan
5. Local SEO Services
5.1 The program. BrandFamous runs an ongoing local search engine optimization program for Maupin so that homeowners in Client's service area find Client on Google Search, Google Maps and AI assistants. Client selects the Local Boost plan or the Local Pro plan in the Acceptance section. Both plans include the following, at the pace stated for the selected plan:
- City landing pages: one in-depth page per city, covering Client's services for that area, published at a steady pace, never in bulk, to keep Client in good standing with Google's policies on doorway and scaled content. Local Boost: about one new city page per week. Local Pro: about two new city pages per week. Each city page includes a local proof section built from jobs Client has actually done in or near that area, which Client supplies from its records.
- Google Business Profile optimization: categories, services, service areas, hours, business description, products or services, attributes, questions and answers, and photos, filled in and kept current. Name, address and phone consistency across Client's listings.
- Google Posts on Client's profile: Local Boost, one per month. Local Pro, one per week.
- Reviews: a simple process Client can use to ask customers for Google reviews, and BrandFamous responds to reviews on Client's behalf in Client's voice. Client approves the response style up front.
- Photos: Client sends photos from jobs to a link BrandFamous provides, and BrandFamous posts them to Client's profile monthly.
- Citations (business listings): Local Boost, the top ten to fifteen listings and the main data networks, built in the first two months and kept consistent. Local Pro, the top thirty to fifty listings plus niche directories for cabinet makers and home improvement, built over the first three months and kept consistent.
- Blog content: Local Boost, one article per month. Local Pro, two articles per month, on topics homeowners ask about before hiring a cabinet maker.
- Press releases: Local Boost, one per year. Local Pro, two per year, distributed through a press release service BrandFamous selects, at BrandFamous's expense.
- Reporting: Local Boost, a monthly report in plain English. Local Pro, a monthly report with a rank grid showing map visibility by city.
- Keyword and ranking tracking so BrandFamous can steer the work.
5.2 Paid directories. Some listings and memberships charge their own fee (for example a chamber of commerce, a trade association or a premium directory profile). Those are optional and are not included in the Plan. BrandFamous may recommend one with its cost, and Client decides whether to buy it. If Client wants one, Client pays the directory directly, or gives BrandFamous a payment method to set it up on Client's account, and BrandFamous handles the listing as part of the Plan.
5.3 After the city pages are complete. Once every city on the agreed list has its page, the Plan continues with the ongoing work: Google Business Profile upkeep, posts, review responses, photo uploads, citation maintenance, blog content, refreshes of existing city pages, reporting and tracking.
5.4 Other advertising. Day-to-day management of any paid advertising platform (Google Ads, Local Services Ads, Meta and similar) is not included in the Plan. If Client wants BrandFamous to run one, the parties agree in writing on scope and a separate monthly fee first.
5.5 Hosting Care Plan included. While Part B is active, the Part C Hosting Care Plan is included at no additional charge, including hosting of the Site and unlimited Standard Edits under Section 9.3.
5.6 How we work together. Adam Warren is Client's primary contact and may be reached by text, phone or email. BrandFamous keeps Client informed as pages publish and work progresses. BrandFamous uses its own team, software and AI tooling to produce the work; BrandFamous directs and reviews it.
5.7 What Client provides. Manager access to Client's Google Business Profile, job photos and job records for the city page proof sections, timely answers on facts and approvals of page content when asked, access under Section 3.1, and prompt handling of the leads the program produces.
5.8 Speed to lead. How fast Client responds to a new lead can make or break a marketing program. Calling or replying within minutes of an inquiry, rather than hours or the next day, can drastically change how many leads become paying customers. BrandFamous's work is to bring the leads in; converting them depends on Client's response time and sales process. Client's conversion results are not a measure of BrandFamous's performance under this Agreement.
6. Plan Term, Price, Changes and Cancellation
6.1 Month to month. Part B runs month to month. There is no minimum term and no long-term commitment.
6.2 Price. $199 per month for Local Boost or $299 per month for Local Pro, as selected in the Acceptance section, charged on the schedule in Section 7.2.
6.3 Switching plans. Client may move between Local Boost and Local Pro by written notice (text or email is enough). The new price applies from the next Billing Date.
6.4 Cancellation by Client. Client may cancel Part B at any time by written notice to BrandFamous (text or email is enough). Cancellation takes effect at the end of the monthly period Client has already paid for. No further plan charges are made after that, there is no cancellation fee, and no refund is owed for the current or any previous month. BrandFamous completes or wraps up work in progress through the end of the paid period and then stops.
6.5 Cancellation by BrandFamous. BrandFamous may end Part B on thirty days' written notice for any reason, or immediately for unresolved non-payment under Section 7.4 or for conduct described in Section 9.5.
6.6 After cancellation. Everything published on the Site stays on the Site. BrandFamous hands over the keyword research, content files and any reports produced for Client within fourteen days. Part C continues at $99 per month from Client's next billing date under Section 8 unless Client also cancels Part C.
6.7 Price changes. BrandFamous may change the Part B price on at least sixty days' written notice. Client may cancel under Section 6.4 before the new price takes effect.
Part C. Hosting Care Plan
7. Payment
7.1 Card on file. Client pays by credit card or ACH debit through BrandFamous's payment processor (currently Stripe), with the payment method kept on file and charged automatically. Client may also pay by wire or Zelle by arrangement, provided payment is received by the due date.
7.2 Schedule. The $500 website fee is charged on the Effective Date. The Plan fee is charged for the first time one month after the Effective Date, on the same calendar day of the following month (for example, signed October 16, first plan charge November 16), and then monthly on that day (the "Billing Date"). If Part B ends, the $99 Hosting Care Plan is charged on the Billing Date from the first Billing Date after Part B ends.
7.3 Receipts and reminders. BrandFamous's processor emails a receipt for each charge. BrandFamous may send a reminder a few days before each Billing Date.
7.4 Failed charges. If a charge fails, BrandFamous retries it and notifies Client. If the charge has not succeeded within seven days, BrandFamous may pause new SEO work and edit requests until the balance is paid; the Site stays live. If payment remains unresolved thirty days after the first failed charge, BrandFamous may replace the Site with a simple holding page showing Client's business name and contact information, and after a further thirty days may archive the Site. Archived files are kept for thirty more days and restored when the balance is paid.
7.5 Taxes. Prices do not include sales or use taxes, if any apply. Each party is responsible for its own income taxes.
8. Hosting Care Plan Term and Price
8.1 Included, then month to month. The Hosting Care Plan is included in Part B at no extra charge. If Part B ends and Client keeps the Site hosted with BrandFamous, the Hosting Care Plan continues at $99 per month, month to month, from the next Billing Date.
8.2 Cancellation. Either party may cancel Part C by written notice. Client's cancellation takes effect at the end of the monthly period already paid for, with no cancellation fee and no refund of the current month. BrandFamous's cancellation for convenience requires thirty days' notice. The exit and transfer process in Section 11 applies either way.
8.3 Price changes. BrandFamous may change the Hosting Care Plan price on at least sixty days' written notice, and no more than once in any twelve-month period. Client may cancel under Section 8.2 before the new price takes effect.
8.4 For clarity. The standard BrandFamous Hosting Care Plan is sold on a twelve-month term. For this Agreement it is month to month, as described in this Section.
9. Hosting, Edits and Fair Use
9.1 Hosting. BrandFamous owns and controls the hosting platform (currently Vercel) and hosts the Site on it, including SSL certificates, a content delivery network and automated backups. BrandFamous targets high uptime as a service goal, not a guaranteed service level.
9.2 Monitoring. BrandFamous monitors the Site for uptime and makes reasonable efforts to respond to an outage within four business hours of detecting it or being notified.
9.3 Standard Edits, unlimited within fair use. A "Standard Edit" is a change BrandFamous can make using the Site's existing design and templates: text changes, image swaps, updated contact details, hours and team members, adding or removing a section on an existing page, uploading a new brochure PDF, adding or updating door styles and finishes, small layout fixes, and adding a page for a new service Maupin offers, built on the Site's existing page templates. The Hosting Care Plan includes unlimited Standard Edits. BrandFamous handles requests in the order received and targets completion within two business days of a clear and complete request. Client may send requests by text, email or any tool BrandFamous provides.
9.4 Project Work. A redesign of an existing page's layout, new features or integrations (booking, e-commerce, customer portals, third-party tools), custom code, migration to another platform, and any city, location or other search-engine landing page or blog content are "Project Work," quoted in writing and approved by Client before BrandFamous starts. While Part B is active, city pages, blog posts and marketing pages are part of Part B and are not charged as Project Work. After Part B ends, search-engine landing pages and blog content are Project Work, while Standard Edits under Section 9.3 continue under the Hosting Care Plan.
9.5 Fair use. Fair use does not cover a pattern of requests that is unreasonable for a site of this size: repeatedly asking BrandFamous to reverse an edit it just made, requests intended to burden BrandFamous rather than improve the Site, harassment of BrandFamous's staff, or a volume of requests far beyond what is typical for a similar site. If BrandFamous sees that pattern, it tells Client in writing and gives a reasonable chance to adjust before limiting edits to a stated monthly volume or moving the excess to Project Work rates.
9.6 Security and client accounts. BrandFamous secures the hosting platform and the Site's code and applies platform security patches. Client secures its own logins to accounts it controls (registrar, email, Google Business Profile and connected tools). BrandFamous is not responsible for loss caused by Client's own credentials being compromised.
9.7 Forms and lead data. Form submissions are delivered to Client by email, text, spreadsheet, CRM or a dashboard BrandFamous provides. BrandFamous keeps a copy for the life of this Agreement plus ninety days, then deletes it unless Client asks otherwise. How Client stores and uses lead data after receiving it, and Client's compliance with laws that apply to its business, are Client's responsibility.
10. Domains
10.1 Client owns its domain. maupinwoodworks.com stays registered to Client in Client's own registrar account. BrandFamous never holds a domain as leverage and removes its access on request. Any additional domain BrandFamous registers for Client's business, if the parties agree on one in writing, is registered with Client named as the owner and transferred to Client's own registrar account at no transfer fee when this Agreement ends.
10.2 DNS. With Client's approval, BrandFamous changes only the DNS records needed to point maupinwoodworks.com at the new Site. Client's email records are not touched.
11. Exit and Transfer
11.1 Leaving BrandFamous hosting. If Client ends Part C, Client arranges hosting elsewhere. Within fourteen days of the request, BrandFamous provides a static export of the Site: the HTML, CSS, JavaScript and image files needed to render the Site as it appears live. The export is a static rendering, not an editable content management system, and it does not include BrandFamous's source templates, components or backend code.
11.2 Transfer assistance. BrandFamous provides up to two hours of technical assistance at no charge to help Client or Client's new developer get the exported Site running on a new host and reconnect forms, and assists with pointing DNS to the new host. Additional help is available at BrandFamous's then-current hourly rate.
11.3 Deletion. BrandFamous deletes the Site from its platform thirty days after Part C ends, giving Client time to complete the move.
General Terms (apply to Parts A, B and C)
12. No Guarantee of Results, Warranties
12.1 Experience. BrandFamous's team has worked in search engine optimization, web design and digital marketing for more than fifteen years across many industries, and brings that experience to Maupin.
12.2 No guarantee of results. Search rankings, website traffic, Google Maps visibility, leads and revenue depend on factors outside BrandFamous's control, including Google's algorithms and policies, competitors, seasonality and Client's own operations. BrandFamous does not guarantee any ranking, traffic level, lead count, timeline for results or revenue, and no statement in any proposal, sample page, email or conversation is a guarantee.
12.3 Workmanlike performance. BrandFamous warrants that it performs the Services in a professional and workmanlike manner consistent with industry practice.
12.4 Accuracy of claims. BrandFamous builds pages from the facts on Client's current site and the information Client supplies. Client is responsible for the accuracy of the facts, licenses, certifications and service claims it provides, and reviews pages when asked.
12.5 Accessibility and compliance. BrandFamous builds the Site to target WCAG 2.1 Level AA using its component library and launch checks. That is a design target, not a warranty of compliance with the Americans with Disabilities Act or any other law. Compliance with laws that apply to Client's business and content is Client's responsibility.
12.6 Disclaimer. EXCEPT AS STATED IN THIS SECTION 12, THE SITE AND SERVICES ARE PROVIDED "AS IS," AND BRANDFAMOUS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
13. Liability, Indemnification, Confidentiality, Disputes and General
13.1 Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRANDFAMOUS'S TOTAL LIABILITY TO CLIENT UNDER THIS AGREEMENT IS CAPPED AT THE FEES CLIENT ACTUALLY PAID TO BRANDFAMOUS FOR THE ONE MONTHLY BILLING PERIOD IN WHICH THE CLAIM AROSE, OR, FOR A CLAIM ABOUT THE WEBSITE BUILD IN PART A, AT THE WEBSITE FEE IN SECTION 4.1. NEITHER PARTY IS LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST RANKINGS OR LOST DATA. These limits do not apply to Client's payment obligations, to either party's indemnification obligations, or to liability for gross negligence, willful misconduct or fraud, or any liability that cannot be limited under California law.
13.2 Indemnification. Client will defend and hold BrandFamous harmless from third-party claims arising from content Client supplies, Client's business operations, products or services, or Client's breach of this Agreement. BrandFamous will defend and hold Client harmless from third-party claims that the Site's design or code, as delivered by BrandFamous and not modified by others, infringes a United States copyright or trademark, subject to the cap in Section 13.1.
13.3 Confidentiality. Each party keeps confidential the other's non-public business information learned during this engagement (pricing, customer lists, financials, strategy, logins) and uses it only to perform this Agreement. This obligation lasts for two years after this Agreement ends. BrandFamous may describe the engagement in anonymized form in its marketing, and may name Maupin with Client's written permission.
13.4 Informal resolution, then arbitration. Before filing any claim, a party gives the other written notice and thirty days to resolve the dispute in good faith. Any dispute not resolved informally is settled by binding arbitration in Orange County, California, before a single arbitrator under the rules of a mutually agreed arbitration provider. Either party may instead bring an individual claim in small claims court in Orange County, California, or the county where Client is located, if it qualifies. Disputes must be brought individually, not as a class or representative action. Each party bears its own attorneys' fees unless the arbitrator awards fees under applicable law.
13.5 Governing law. This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules; Section 13.4 is also governed by the Federal Arbitration Act.
13.6 Electronic signature. This Agreement is signed electronically through an electronic signature service. Electronic signatures and initials have the same effect as handwritten ones, and the service's audit trail (names, emails, IP addresses, timestamps and document version) is each party's record of agreement.
13.7 Notices. Notices are in writing and are effective when emailed to tom@maupinwoodworks.com for Client and adam@brandfamousmarketing.com, with a copy to matt@brandfamousmarketing.com, for BrandFamous, or to any updated address a party provides in writing. Cancellation notices under Sections 6.4 and 8.2 may also be sent by text message to Adam Warren's business mobile number and are effective when BrandFamous confirms receipt.
13.8 General. This Agreement is the entire agreement between the parties on its subject and replaces earlier proposals and discussions. Changes must be in writing and agreed by both parties; email is sufficient. Client may not assign this Agreement without BrandFamous's written consent; BrandFamous may assign it in connection with a sale or reorganization of its business. If any provision is unenforceable, the rest remains in effect. A party's failure to enforce a provision is not a waiver of it.
